2-4 years of general corporate law experience, specifically in the areas of (1) commercial transactions/contract drafting and redlining, (2) fundraising (i.e., drafting and negotiating SAFE notes, convertible notes, and priced rounds such as Series Seed, A, B, etc.), (3) entity formation, (4) equity grants and cap table management, and (5) M&A work (i.e., reverse mergers and sell-side acquisitions). A Juris Doctor (JD) degree and admission to the California bar are required. The Junior Associate will report to all three partners and our two Senior Attorneys, and must be interested in matriculating into a leadership position at the firm. The experience above is non-negotiable, so the candidate must have experience in all five (5) areas listed.
3-4 years of experience with corporate formation and governance, SEC and Blue Sky filings, Carta/Shareworks cap management, closing binders, and proficiency in Google Docs, MS Excel, MS Word, and Adobe Acrobat. Thorough knowledge of state corporate code and federal and state securities regulations. Litigation support (filings, discovery) a plus, but not required. A Bachelor's degree (and signed declaration if located in a California office), or paralegal certificate from an approved program is required.
